Welcome to the Lakeway IT Alliance (LITA)

LITA MISSION STATEMENT:

Lakeway IT Alliance is a regional group of IT professionals from the Lakeway area of East Tennessee.  The group was formed in the Spring of 2005 to provide networking opportunities, allow the pooling of IT knowledge and resources, as well as to provide a forum for IT professionals in Lakeway area.

BYLAWS for Lakeway Information Technology Alliance (LITA).

Article I – Name and Purpose.

Section 1 – Name: The name of the organization shall be Lakeway IT Alliance (LITA).  It shall be a nonprofit organization incorporated under the laws of the State of Tennessee .

Section 2 – Purpose: Lakeway IT Alliance ’s primary function is to promote and encourage Information Technology and economic development in the Lakeway Area, by bringing together members of the business, academic, government, and non-profit sectors.

Article II – Membership.

Section 1 – Eligibility for membership: To be eligible for membership into this organization, a person must submit a completed membership application to the executive board.  

Memberships are granted to the following;

(1) IT professionals in the Lakeway Area,

(2) Educators in the Lakeway area.

These will be voting members of LITA. 

(3) Students,

(4) IT professionals outside the Lakeway Area,

These will be  Non-Voting members.

Descriptions:

Lakeway Area, The Lakeway area is hereinafter designated for the sake of LITA to include the following Tennessee counties; Hamblen, Jefferson, Cocke, Greene, Hawkins, Hancock, Claiborne and Grainger.

IT Professional, anyone who is currently employed in the technology field or for a technology driven company.

Local vendor, any technology company in the Lakeway area who sells technology goods and services.

Student, any person enrolled at any college, university, trade or secondary school in the Lakeway area who is enrolled in a technology field of study (if applicable).

Outside Vendor, any technology company outside the Lakeway area who sells technology goods and services.

Educators

Section 2 – Rights of members: Voting rights, eligible for committees, boards.  (Discounts for sponsored events)

Section 3 – Resignation and termination: Resignation requires a written notice.  Termination requires 60 % of Quorum.

Article III – Meetings.

Section 1 – Regular meetings: One meeting per month for the year.

Section 2 – Called meetings: President can call a meeting with seven days notice.

Section 3 – Quorum:  Quorum for a scheduled meeting is those attending the meeting.  Quorum for a called meeting is 50% of voting members.

Section 4 - Voting: One vote per member, member must be present to vote.

Section 5 - Guests. Guests are always welcome at all LITA meetings, whether escorted by a member or not.

Article IV – Executive Board.  

Section 1 – Board Role and size: The Executive Board shall be made up of the President, Vice-President, Treasurer and Secretary.

Section 2 – Qualifications: Members of the executive board must be voting members of LITA.

Descriptions:

The President shall represent LITA at all functions and will give general direction and vision to the organization.  The president will have the tie-breaking vote on the executive board.

The Vice-president shall be responsible for all internal operations of LITA including committees, and shall assume the position of president if that position is vacant.

The Treasurer shall be responsible for the financial duties of LITA.

The Secretary shall be responsible for meeting minutes, meeting locations, and correspondence responsibilities.

Section 3 – Terms: The President, VP, treasurer and Secretary will each serve a one year term.

Section 4 – Meetings and notice: EB one meeting per quarter as scheduled by the President.

Section 5– Elections: Elections will be held once a year.  Nominations will be held in November, with the election in December.

Section 6 – Election Procedure: Officers will be elected with a simple majority at a regularly scheduled meeting.

Section 7 – Quorum: Quorum for EB shall be 100%

Section 8 – Officers and size: President 1, VP 1, Treasurer 1, Secretary 1. 

Section 9 – Vacancies:  If there is a vacancy in the Presidency the VP will move up and the New President will select the VP on an Interim basis until the next scheduled election.  If the VP, treasurer or Secretary positions are empty the president will fill the position until the next election with the approval of the membership at the next regular scheduled meeting.

Section 10 – Resignations, terminations and absences:  Any member of the EB must send written notice of resignation to the EB.  Termination of EB member must be voted on at a regularly scheduled meeting with a 2/3rd (66%) majority of quorum. 

Section 11 – Called Meetings The president can call a meeting with 7 days notice for the EB.

Article V – Committees  

Section 1 – Committee formation:  A standing committee can be created by a majority of voting members at a regularly scheduled meeting.  Ad-Hoc committees can be created by a majority of voting members at a regularly scheduled meeting.

There are currently four standing committees: Bylaws committee, IT Summit Committee, Executive Committee, Membership Committee.

Article VI – Amendments.  

Section 1 – Amendments: Any voting member can recommend an amendment to the bylaws to the Bylaws committee.  The bylaws committee can approve or disapprove of the recommendation.  If the amendment is approved it will be presented to the voting members of LITA at a regularly scheduled meeting for a vote.  The amendment will need a 2/3rd Voting Member (66%) vote for approval.

VII – Roberts Rules of Order

The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Alliance in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the Alliance may adopt.
